1. Acceptance of Terms

2. Service Description

CostPer is a software platform that enables clients to connect and automate their marketing operations by integrating with third-party platforms (such as Meta, Google, Shopify, and others), read and write marketing data, and utilize additional services, including but not limited to, artificial intelligence (e.g., Large Language Models), and external hosting providers.

3. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into contracts. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind the organization to these Terms.

4. User Account & Security

  • You may be required to create an account to use the Service.
  • You are responsible for maintaining the confidentiality of your account credentials and for any activity that occurs under your account.
  • You agree to notify CostPer immediately of any unauthorized use of your account.

5. Access to Third-Party Platforms

  • By using CostPer, you authorize us to access, read, and (where applicable) write data on your behalf from third-party marketing and e-commerce platforms (e.g., Meta, Google Ads, Shopify, etc.).
  • Your use of integrated third-party services is subject to the terms, policies, and permissions required by those services.
  • You acknowledge and agree that CostPer is not responsible for the availability, accuracy, or content of data provided by third-party platforms.

6. Use of Third-Party Services and AI Tools

  • CostPer may leverage third-party tools, including hosting providers, analytics, and AI services such as Large Language Models (LLMs).
  • Your data may be processed by these third-party providers in accordance with their privacy and security practices.
  • CostPer makes commercially reasonable efforts to ensure all third-party service providers are reputable, but we are not liable for their acts or omissions.

7. Data Privacy & Security

  • We collect, store, process, and use your data in accordance with our Privacy Policy.
  • You retain all rights to your data. You grant CostPer a limited license to access, process, and use your data for the purpose of providing the Service.
  • We implement reasonable technical and organizational measures to protect your data but cannot guarantee absolute security.

8. Acceptable Use

  • Use the Service for any unlawful, harmful, fraudulent, or malicious purpose.
  • Interfere with or disrupt the integrity or performance of the Service or third-party data.

To the fullest extent permitted by law: CostPer and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses. Our total liability for any claims arising out of or relating to these Terms or the Service is limited to the amount you paid us for the Service in the 12 months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless CostPer, its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorney’s fees) arising from your use of the Service or your violation of these Terms.
